Please read these Terms carefully. By registering as a Creator on Krrio ("Platform"), you enter into a legally binding agreement with Sakillion Innovations Private Limited. If you do not agree to these Terms in full, you may not register or use the Platform.

1. Definitions

In these Terms and Conditions, the following terms have the meanings assigned below:

"Krrio" / "Platform"The creator marketing platform operated by Sakillion Innovations Private Limited, including its website, mobile application, APIs, and related services at www.krrio.com.
"Company" / "We" / "Us"Sakillion Innovations Private Limited (CIN: U62099UP2024PTC204698).
"Creator" / "You"Any individual registered on the Platform who creates and publishes content for Brand campaigns in exchange for performance-based compensation.
"Brand"Any company or entity that uses the Platform to launch marketing campaigns and engage Creators for promotional content.
"Campaign"A promotional initiative created by a Brand specifying content requirements, target audience, budget, payout structure, and duration.
"Content"Any video, image, reel, short, caption, story, or other media created by a Creator as part of a Campaign.
"Viral Payout"The performance-based compensation paid to Creators based on verified metrics (views, clicks, conversions).
"Verified Views"View counts validated through official social media platform APIs (Meta Graph API, YouTube Data API), not self-reported.
"Conversion"A completed desired action (purchase, sign-up, download) tracked via unique promo codes or UTM links at brand checkout systems.
"Social Media Platforms"Meta (Instagram, Facebook), YouTube, TikTok, X (Twitter), and any other third-party platforms where Content may be published.
"OAuth Token"A secure, encrypted access credential issued by Meta or Google that allows Krrio to read specific performance metrics on your behalf.
"TDS"Tax Deducted at Source — a mandatory deduction under Section 194R of the Indian Income Tax Act, 1961.

2. Platform Role

Krrio is an intermediary platform only. Sakillion Innovations Private Limited acts solely as a technology platform that facilitates connections between Brands and Creators. We are not your employer, agent, representative, or partner.

The relationship between you (as a Creator) and Brands is that of independent contractors. No employment, partnership, joint venture, or agency relationship is created through the use of this Platform or participation in any Campaign.

Krrio provides the following services to Creators:

  • Access to browse and apply for brand campaigns matching your niche and audience
  • Content submission and approval workflow management
  • Automated performance tracking via official Social Media Platform APIs
  • Payout calculation and disbursement via Razorpay
  • Analytics dashboard showing your campaign performance
  • Tier-based access to premium campaigns and higher payout rates
  • Fraud detection systems protecting your earnings from fraudulent brand chargebacks

No Guarantee of Results: Krrio does not guarantee any specific number of campaigns, earnings, views, or income. Projected earnings shown in campaign previews are illustrative only, based on historical averages, and do not constitute a guarantee.

3. Eligibility

To register as a Creator on Krrio, you must meet all of the following requirements:

  • Age: You must be at least 18 years of age, or the age of majority in your jurisdiction if higher than 18.
  • Social Media Account: You must have a valid, active Instagram account in good standing (not suspended or restricted by Meta). YouTube is optional.
  • Minimum Followers: A minimum of 30 followers is required to register; 100+ followers is recommended for campaign eligibility. Higher follower counts unlock better campaign opportunities and payout rates.
  • Authentic Account: Your social media account must be genuine and operated by you personally. Fake accounts, shared accounts, or accounts operated by third parties are not permitted.
  • Payment Method: You must have a valid UPI ID or Indian bank account to receive payouts.
  • Legal Capacity: You must be legally capable of entering into binding contracts in your jurisdiction.
  • Registration Information: You must provide accurate, complete, and current registration information. Any false information is grounds for immediate termination.
  • Jurisdiction: You must not be located in a jurisdiction where use of the Platform is prohibited by applicable law.

Krrio reserves the right to verify eligibility at any time and to suspend or terminate accounts that do not meet these requirements.

4. Account Registration & Security

When you register, you create an account with Krrio. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

  • Provide accurate, truthful, and complete information during registration and keep it updated
  • Choose a secure password and do not share it with anyone
  • Notify Krrio immediately if you suspect unauthorized access to your account (support@krrio.com)
  • Do not create multiple accounts to circumvent bans, payout caps, or other restrictions
  • You are responsible for all content submitted and actions taken from your account
  • Krrio will never ask for your social media platform passwords

Krrio is not liable for losses resulting from your failure to maintain account security, except to the extent caused by our own negligence or breach.

5. Content Creation Obligations

By participating in a Campaign, you undertake the following content creation obligations. These are binding and failure to meet them may result in content rejection, payout forfeiture, or account suspension.

5.1 Originality and Authenticity

  • All Content must be original and created by you personally
  • Content must represent your genuine opinion and experience with the product or service
  • You must not submit the same content to multiple competing brands simultaneously
  • Content must not be AI-generated unless expressly permitted by the brand's campaign brief

5.2 Campaign Brief Compliance

  • Content must comply with the brand's campaign brief, guidelines, and specifications
  • Content must meet the technical requirements specified (aspect ratio, resolution, duration, format)
  • All required brand elements (mentions, hashtags, product demonstrations) must be included
  • Content must be submitted for review before publication, within the timeline specified
  • Approved content must remain published for the full campaign duration unless the brand requests removal for valid reasons

5.3 Platform Community Guidelines

  • Content must comply with the community guidelines and terms of service of the Social Media Platform where it is published (Meta Community Standards, YouTube Community Guidelines, etc.)
  • Content must comply with all applicable laws, including advertising standards
  • Content may not include misleading, false, or unsubstantiated claims about any product or service

5.4 Prohibited Content

The following types of content are strictly prohibited and will result in immediate removal and payout forfeiture:

  • Defamatory, obscene, pornographic, or sexually explicit content
  • Content promoting violence, hatred, discrimination, or terrorism
  • Content infringing on intellectual property rights (copyright, trademark, trade dress)
  • Content containing false, misleading, or unsubstantiated health, medical, or financial claims
  • Content promoting illegal products, services, or activities
  • Content sharing private information about individuals without their consent
  • Content promoting tobacco, vaping, or controlled substances (unless legally permitted and campaign-authorized)
  • Content targeting minors inappropriately or violating child safety standards
  • Content promoting financial scams, pyramid schemes, or fraudulent opportunities
  • Content violating any applicable laws or regulations in India or your jurisdiction

6. Disclosure Requirements

This section is critical for legal compliance. Creators are solely and entirely responsible for ensuring that all sponsored content includes proper, prominent disclosures as required by applicable law and platform policies.

6.1 Legal Requirements

You must comply with all applicable advertising disclosure regulations, including:

  • ASCI Guidelines for Influencer Advertising in India: All sponsored content must be clearly labeled with #ad or #sponsored or "Paid Partnership" in a prominent position.
  • FTC Endorsement Guidelines (USA): If your audience includes US consumers, disclosures must be clear, conspicuous, and in close proximity to the endorsement.
  • Consumer Protection Act, 2019 (India): Influencer advertising must not be misleading and material connections must be disclosed.
  • ASA Guidelines (UK): For content reaching UK audiences.

6.2 Meta Platform Requirements (Instagram / Facebook)

  • All sponsored Instagram posts, Reels, and Stories must use Meta's official Paid Partnership label via the "Add paid partnership label" feature in the Instagram app
  • The Paid Partnership label must tag the brand's Instagram business account
  • In addition to the Paid Partnership label, the caption must include an explicit disclosure (e.g., "#ad" or "#sponsored") placed at the very beginning of the caption, above the "more" fold
  • For Stories, disclosures must be clearly visible on screen for the duration of the story
  • For Reels, a verbal disclosure within the first few seconds is strongly recommended in addition to text disclosures

6.3 YouTube Requirements

  • Check the "Includes paid promotion" box in YouTube Studio for all sponsored videos
  • Make a clear verbal disclosure at the beginning of the video (e.g., "This video is sponsored by [Brand]")
  • Include a written disclosure in the video description

6.4 Consequences of Non-Disclosure

Failure to include required disclosures may result in: content flagging or removal by the Social Media Platform, payout forfeiture for the affected content, account suspension on Krrio, regulatory penalties from advertising standards bodies (ASCI, FTC), and potential legal liability.

Krrio provides guidelines but cannot verify compliance with every applicable disclosure requirement. You are solely responsible for ensuring your content is compliant.

7. Social Media Account Connection

To participate in campaigns and receive performance-based payouts, you must connect your Instagram account to Krrio. This connection is established via Meta's official OAuth 2.0 authorization flow.

7.1 How It Works

  1. You click "Connect Instagram" in your Krrio settings
  2. You are redirected to the official Meta/Instagram authorization page (meta.com domain)
  3. You review the specific permissions we are requesting
  4. If you approve, Meta issues Krrio a secure OAuth access token
  5. Krrio stores this token in encrypted form (AES-256-GCM) in our database
  6. We use this token exclusively to fetch performance metrics for posts you submit to campaigns

7.2 What We Can Access

  • Performance metrics for specific post URLs you submit: views, reach, impressions, likes, comments, shares, saves, average watch time
  • Basic account information: username, account ID, profile picture (for identification)
  • Business account insights (where applicable and authorized)

7.3 What We Cannot and Do Not Access

  • Your Instagram password (never requested)
  • Direct messages or private communications
  • Content from private accounts or unpublished posts
  • Content or analytics from posts not submitted to Krrio campaigns
  • Content published before you connected your account
  • Your follower or following lists
  • Your account settings, bio, or contact information beyond what's public
  • Any data from Meta users who are not registered Krrio users

7.4 Our Capabilities Are Read-Only

We cannot post content on your behalf, leave comments, send messages, follow or unfollow accounts, run ads, or take any action on your Instagram account. Our integration is strictly read-only.

7.5 Revoking Access

You can disconnect your Instagram account at any time:

  • From your Krrio Settings → Social Accounts → Disconnect
  • From Instagram Settings → Apps and Websites → Remove Krrio

Disconnecting will stop all future metric fetching. Historical data already fetched (for past campaigns) will be retained for payout records and dispute resolution purposes as described in our Privacy Policy.

8. Campaign Participation

8.1 Applying to Campaigns

  • Browse available campaigns in the Marketplace that match your niche, language, and audience
  • Submit applications with required information; brands review and approve/reject within 5 business days
  • Once approved, review the campaign brief carefully before accepting
  • Do not begin content creation or posting until you have received explicit campaign approval

8.2 Content Submission Process

  1. Create content according to the campaign brief
  2. Submit content draft via the Krrio platform for brand review
  3. Automated compliance check (disclosure labels, format, prohibited content detection)
  4. Brand review and approval (up to 48 hours)
  5. Publish content on your social media account with required disclosures
  6. Submit the live post URL to Krrio
  7. Krrio begins tracking performance via official APIs

8.3 Content Duration

Approved content must remain published and publicly visible for the full campaign duration (specified in the campaign brief). Removing or archiving content before the campaign ends without brand approval will result in reduced payouts proportional to the views delivered, and may result in tier demotion.

8.4 Exclusivity

Some campaigns may include exclusivity clauses preventing you from promoting competing brands during the campaign period. These will be clearly stated in the campaign brief. Check the brief carefully before applying. General exclusivity (not tied to a specific campaign) is not imposed by Krrio.

9. Payments, Payouts & TDS

9.1 Payout Calculation

Payouts are calculated automatically using verified metrics from official Social Media Platform APIs:

  • View-based campaigns: Payout = (Verified Views ÷ 1,000) × Per-1K-View Rate
  • Conversion-based campaigns: Payout = Verified Conversions × Per-Conversion Rate
  • Hybrid campaigns: Combination of both formulas as specified in the campaign brief

9.2 Payout Caps

Caps may be higher for premium or custom campaigns negotiated separately.

9.3 Commission Deduction

For campaigns with budgets exceeding ₹1,00,000, a 3% platform commission is deducted from your gross payout before TDS:

Example (Budget ₹1,50,000):

Gross Payout: ₹10,000

Less 3% Commission: −₹300

Net before TDS: ₹9,700

Less TDS (10%): −₹970

Final Payout: ₹8,730

9.4 Tax Deducted at Source (TDS)

TDS at 10% is deducted from all payouts under Section 194R of the Income Tax Act, 1961 (Benefits or perquisites arising from business or profession). This deduction is mandatory under Indian law and is deposited with the Income Tax Department on your behalf.

  • You will receive Form 16A annually for TDS deducted, usable for income tax return filing
  • You are solely responsible for filing your own income tax returns and reporting all income earned through Krrio
  • Creators earning above the GST threshold must provide their GSTIN for invoice compliance
  • Krrio is not a tax advisor; consult a qualified tax professional for advice specific to your situation

9.5 Payment Timeline & Method

  • Campaign ends on scheduled date
  • Metrics verified through platform APIs (1–6 hours after campaign end)
  • Payout calculated automatically
  • Funds transferred via UPI or bank transfer within 24–48 hours after verification
  • You receive a confirmation email and receipt

Payments are processed via Razorpay. Krrio is not responsible for delays caused by banking system failures, UPI downtime, or incorrect payment details provided by you. Always verify your UPI ID and bank details are current in your account settings.

9.6 Minimum Threshold & Account Closure

Earnings below ₹100 are accumulated until the threshold is reached. Upon account closure, any balance above ₹50 will be paid out within 30 days.

10. Creator Tier System

Creators are categorized into tiers based on follower count, engagement rate, campaign completion history, and performance ratings. Higher tiers unlock better payout rates and access to premium campaigns. Tiers are reviewed and updated periodically.

Tier demotion can occur as a result of: fraudulent activity, repeated content policy violations, low engagement quality scores, or failing audience quality audits.

11. Content Ownership & License

11.1 You Retain Ownership

You retain full copyright and ownership of all original Content you create. Your content remains on your social media channels and in your portfolio. Krrio does not claim ownership of your content.

11.2 License Grant to Brands

By submitting approved Content in a Campaign, you grant the Brand a perpetual, worldwide, non-exclusive, royalty-free license to use the Content for the following purposes:

  • Reposting: Sharing Content on the Brand's own social media channels (with Creator credit)
  • Website Use: Embedding Content on the Brand's website, landing pages, and sales pages
  • Paid Advertising: Using Content in paid social media advertisements and boosted posts
  • Email Marketing: Including Content in email campaigns and newsletters
  • Case Studies & Marketing Materials: Featuring Content in brand case studies and promotional collateral
  • Editing: Cropping, adding logos, extending, subtitling, or modifying Content for marketing purposes

This license is non-exclusive. You may continue to work with other brands and retain your content unless a separate exclusivity agreement has been signed. Brands cannot prevent you from working with other non-competing brands through the Platform.

11.3 License Grant to Krrio

You grant Krrio a limited, non-exclusive, royalty-free license to display, reproduce, and use your Content and profile information solely for the purpose of operating the Platform, including showcasing your profile to brands and displaying campaign analytics.

11.4 Attribution

Brands are expected to provide reasonable attribution to you (Creator) when reposting or using your Content. This typically means tagging your social media handle. Krrio encourages but cannot legally mandate brand attribution in all contexts.

12. Prohibited Conduct

The following activities are strictly prohibited and will result in account suspension or termination, payout forfeiture, and potential legal action:

12.1 Engagement & Metric Fraud

  • Using bots, automation tools, click farms, or any artificial means to inflate view counts, likes, comments, shares, or any other engagement metrics
  • Purchasing followers, views, likes, or any form of fake engagement
  • Using VPNs, proxy services, or datacenter IP addresses to generate artificial traffic
  • Coordinating with others to artificially boost metrics (engagement pods for fraudulent purposes)
  • Submitting content from suspended, fake, or impersonating accounts

12.2 Account & Platform Abuse

  • Creating multiple accounts to circumvent bans, payout caps, tier restrictions, or other limitations
  • Attempting to access, probe, or exploit any unauthorized area of the Platform
  • Circumventing fraud detection systems or attempting to deceive our monitoring systems
  • Impersonating other creators, brands, or Krrio staff
  • Manipulating reviews, ratings, or reputation scores on the Platform

12.3 Campaign Policy Violations

  • Accepting payment or compensation outside the Platform for Campaign work (off-platform deals)
  • Sharing campaign briefs, brand confidential information, or unreleased product details publicly
  • Removing approved campaign content before the campaign end date without brand approval
  • Submitting content that was created by another person as your own
  • Promoting competing brands during active exclusivity periods

12.4 Community & Legal Violations

  • Harassing, bullying, abusing, or threatening other platform users (brands, creators, or Krrio staff)
  • Posting or submitting any prohibited content described in Section 5.4
  • Violating any applicable laws, regulations, or third-party rights
  • Failing to disclose paid partnerships as required by ASCI, FTC, or applicable law

13. Fraud Detection & Consequences

13.1 Multi-Layer Detection Systems

Krrio employs sophisticated fraud detection across multiple layers:

  • Layer 1 — API Verification: Direct integration with official Meta and YouTube APIs ensures only verified, authentic metrics are tracked. We do not accept self-reported metrics.
  • Layer 2 — Traffic Analysis: Real IP verification filtering datacenter IPs and known VPNs; geographic validation; device type verification; session quality metrics.
  • Layer 3 — Engagement Quality: Follower-to-engagement ratio validation; engagement velocity anomaly detection; comment quality assessment; audience authenticity scoring.
  • Layer 4 — Creator Verification: Account authenticity checks; engagement audits; content history review; identity verification for high-tier creators.

13.2 Detection Rates

13.3 Consequences of Verified Fraud

Verified fraudulent activity results in:

  • Immediate account suspension pending investigation
  • Forfeiture of all pending and future payouts
  • Clawback of previously paid amounts obtained through fraudulent metrics
  • Permanent ban from the Platform
  • Reporting to relevant authorities (income tax, cyber crime) where applicable
  • Civil legal action to recover damages suffered by Krrio and affected Brands

13.4 Appeals Process

If you believe a fraud determination was made in error, you may appeal within 7 calendar daysof receiving notice by submitting your appeal with supporting evidence to appeals@krrio.com. Krrio will review all appeals within 14 business days. Krrio's decision on appeals is final and binding, subject to the dispute resolution process in Section 20.

14. Brand Interaction Rules

  • All communication with Brands must occur through the Krrio Platform messaging system
  • Do not share personal contact information (personal phone, email, WhatsApp) with brands before a Campaign begins
  • Do not negotiate, agree to, or execute off-platform deals for Campaign work found through Krrio
  • Treat Brand representatives professionally and respectfully at all times
  • Do not publicly disclose negative campaign experiences without first using Krrio's dispute resolution process
  • Do not share confidential brand assets, briefs, or unreleased product information publicly

15. Data Privacy

Krrio collects and processes your personal data as described in detail in our Privacy Policy, which is incorporated by reference into these Terms.

Key points:

  • We collect the minimum data necessary to operate the Platform and process payouts
  • Your OAuth access token is encrypted (AES-256-GCM) and used only to fetch campaign metrics
  • We never sell your personal data to third parties
  • You can revoke social media access at any time from your settings
  • We comply with the IT Act 2000, DPDP Act (India), GDPR (EU), and CCPA (California)
  • Your TnC acceptance is timestamped and stored for compliance purposes (Meta, DPDP Act, GDPR)

16. Compliance with Laws and Platform Policies

16.1 Indian Laws

All Creators must comply with applicable Indian laws, including:

  • Information Technology Act, 2000 and IT (Intermediary Guidelines) Rules, 2021
  • Consumer Protection Act, 2019 and Consumer Protection (E-Commerce) Rules, 2020
  • ASCI Guidelines for Influencer Advertising in India (2021 and subsequent updates)
  • Income Tax Act, 1961 (including TDS provisions under Section 194R)
  • Goods and Services Tax Act, 2017 (where applicable based on turnover)
  • Indian Contract Act, 1872
  • Any sector-specific regulations applicable to the products being promoted (FSSAI for food, Drugs and Cosmetics Act for healthcare, etc.)

16.2 Social Media Platform Policies

All Content must comply with the terms of service and community guidelines of the Social Media Platform where it is published:

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAKILLION INNOVATIONS PRIVATE LIMITED SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
  • Loss of earnings, revenue, followers, or business opportunities
  • Actions of Brands, including product quality, legality, or payment delays beyond Krrio's control
  • Third-party platform actions, including algorithm changes, account suspensions, or content removals by Meta, YouTube, or other Social Media Platforms
  • Payment delays or failures caused by Razorpay, banking systems, or network issues beyond our control
  • Unauthorized access to your Krrio account resulting from your failure to maintain account security
  • Force majeure events including natural disasters, government actions, cyberattacks, or infrastructure failures

In no event shall Sakillion Innovations Private Limited's total aggregate liability to you exceed the greater of: (a) the total payouts made to you in the twelve (12) months preceding the claim, or (b) ₹50,000. This limitation applies regardless of the theory of liability.

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.Krrio does not warrant that the Platform will be uninterrupted, error-free, or free from viruses.

18. Indemnification

You agree to indemnify, defend, and hold harmless Sakillion Innovations Private Limited, its affiliates, officers, directors, employees, agents, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your Content, including any claims, representations, or statements made therein
  • Your violation of these Terms and Conditions
  • Your violation of any applicable law, regulation, or third-party rights
  • Your interactions with Brands through the Platform
  • Any fraudulent activity on your account
  • Your failure to include required advertising disclosures in sponsored Content

19. Termination

19.1 Termination by You

You may delete your account at any time by submitting a request through the Platform dashboard or by emailing support@krrio.com.

  • Active campaigns must be completed or properly cancelled before account closure
  • Outstanding payouts will be processed within 30 days of account closure
  • Content licenses granted to Brands survive account termination
  • You remain responsible for obligations incurred prior to termination (including tax compliance)

19.2 Termination by Krrio

Krrio may suspend or terminate your account immediately and without prior notice for:

  • Any violation of these Terms and Conditions
  • Fraudulent activity or verified fake engagement
  • Repeated content policy violations
  • Failure to disclose sponsored content as required by law
  • Inactivity exceeding 12 consecutive months
  • Legal requirements or regulatory orders
  • Risk to Platform integrity or other users

19.3 Effect of Termination

Upon termination: all licenses granted to you cease; outstanding balances are settled per Section 9; provisions that by their nature should survive termination — including indemnification, limitation of liability, and dispute resolution — shall survive indefinitely.

20. Dispute Resolution

20.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The courts of Lucknow, Uttar Pradesh, India shall have exclusive jurisdiction over any disputes that are not resolved through arbitration.

20.2 Internal Dispute Resolution (Mandatory First Step)

Before initiating formal proceedings, you must attempt resolution through Krrio's internal dispute resolution process:

  1. Submit your dispute via the Platform's dispute resolution portal or email disputes@krrio.com
  2. Krrio will review and respond within 7 business days
  3. If unresolved, parties may request mediation through a mutually agreed mediator
  4. Krrio's decision on payout disputes is final and binding, subject to the arbitration process

20.3 Arbitration

Any disputes not resolved through the internal process shall be settled by binding arbitration under the Arbitration and Conciliation Act, 1996. Arbitration shall be conducted:

  • In the English language
  • In Lucknow, Uttar Pradesh, India
  • By a single arbitrator appointed by mutual agreement, or by the Indian Council of Arbitration if no agreement is reached
  • The arbitrator's award shall be final and binding on both parties

20.4 Class Action Waiver

You agree to resolve disputes individually. You waive any right to participate in class actions, class arbitrations, or representative actions against Sakillion Innovations Private Limited.

21. Amendments

Sakillion Innovations Private Limited reserves the right to modify these Terms at any time. Material changes will be communicated via email and/or Platform notification at least 15 daysbefore taking effect. Non-material changes (corrections, clarifications) may be made without notice.

Continued use of the Platform after changes take effect constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform and may close your account. Previous versions are available upon request at legal@krrio.com.
