Please read these Terms carefully. By registering as a Brand on Krrio ("Platform"), you enter into a legally binding agreement with Sakillion Innovations Private Limited on behalf of your company. If you do not agree to these Terms in full, you may not register or use the Platform.

1. Definitions

"Brand" / "You"Any company, entity, or authorized representative registered on the Platform to launch and manage marketing campaigns.
"Creator"An individual registered on the Platform who creates and publishes promotional content for Brand campaigns.
"Campaign"A promotional initiative created by a Brand specifying content requirements, target audience, budget, payout structure, and duration.
"Campaign Budget"The total funds deposited by a Brand to fund creator payouts and platform fees for a Campaign.
"Platform Fee"The fixed or percentage-based fee charged by Krrio to the Brand for campaign management services.
"Verified View"A view count validated through official Social Media Platform APIs, not self-reported by creators.
"Conversion"A verified completed action (purchase, sign-up, download) tracked through promo codes or payment gateway webhooks.
"Content"Any video, image, reel, short, caption, or other media created by Creators as part of a Campaign.
"Escrow"Campaign funds held by Krrio after deposit and before disbursement to creators based on verified performance.

2. Platform Role

Krrio is an intermediary platform only. Sakillion Innovations Private Limited is not a marketing agency, advertising agency, or guarantor of campaign results. We provide technology infrastructure that connects Brands with Creators and facilitates transparent, performance-based campaigns.

The relationship between Brands and Creators is that of independent principals engaging independent contractors. No employment, agency, or partnership relationship is created between Brands and Krrio or between Brands and Creators through use of this Platform.

Krrio provides the following services to Brands:

  • Campaign creation and management tools with detailed brief-setting capabilities
  • Creator discovery and matching based on niche, audience demographics, and engagement metrics
  • Real-time performance tracking via official Social Media Platform APIs (Meta Graph API, YouTube Data API)
  • Automated payout calculation and disbursement to creators
  • Content approval workflow and pre-publication review
  • Multi-layer fraud detection and fake engagement prevention
  • Analytics and reporting dashboards for campaign performance
  • Brand safety controls and content moderation

No Performance Guarantee: Krrio does not guarantee any specific results, including views, engagement, conversions, sales, or ROI. All projected metrics are illustrative estimates based on historical averages and do not constitute a guarantee.

3. Eligibility & Account Setup

To register as a Brand on Krrio, you must meet all of the following requirements:

  • Legal Entity: You must represent a legally registered business entity (private limited company, LLP, partnership, sole proprietorship, or equivalent)
  • Authorization: You must have the authority to bind your company to these Terms and Conditions
  • Accurate Information: You must provide accurate business information including company name, GSTIN (recommended), contact person, website, and industry
  • Valid Payment Method: You must maintain a valid payment method capable of funding campaigns via Razorpay
  • Minimum Budget: Each campaign requires a minimum budget of ₹25,000 (view-based) or ₹50,000 (conversion-based)
  • Legal Products/Services: The products or services you intend to promote must be legal in the target markets
  • Not Prohibited Jurisdiction: You must not be located in a jurisdiction where use of this Platform is prohibited by applicable law

4. Account Responsibilities

  • Provide and maintain accurate, up-to-date business information in your brand profile
  • Keep login credentials secure and restrict access to authorized team members only
  • Notify Krrio immediately of any unauthorized access to your account (support@krrio.com)
  • Ensure that any team members given access to your brand account understand and comply with these Terms
  • You are responsible for all campaigns created and actions taken under your account
  • Do not create multiple accounts to circumvent campaign limits, fee structures, or platform bans

5. Campaign Management

5.1 Creating a Campaign

When creating a campaign, you must:

  • Provide a clear, accurate, and complete campaign brief with specific content requirements
  • Specify realistic budgets, timelines, payout structures, and performance expectations
  • Provide all necessary brand assets (logos, product images, key messages, tone guidelines)
  • Include all required disclosure language creators must use (#ad, Paid Partnership labels)
  • Clearly state any exclusivity requirements, geographic restrictions, or content restrictions
  • Specify the exact payout rate (per 1K views or per conversion) and any campaign caps

5.2 Campaign Lifecycle

5.3 Creator Selection

  • Review creator applications within 5 business days of submission
  • Select creators based on legitimate criteria: niche fit, audience demographics, engagement quality, and performance history
  • Do not discriminate based on race, gender, religion, nationality, disability, or any other protected characteristic
  • Provide clear and respectful feedback when rejecting applications

5.4 Campaign Modification

You may modify campaign details before it goes Live. Once a campaign is Live and creators have applied, material changes to payout rates, content requirements, or timelines require Krrio approval. Unilateral reduction of payout rates after campaign activation is not permitted.

6.1 Payout Calculation

  • View-based: Payout = (Verified Views ÷ 1,000) × Per-1K-View Rate
  • Conversion-based: Payout = Verified Conversions × Per-Conversion Rate
  • All metrics are verified through official Social Media Platform APIs — not self-reported by creators

7. Platform Fees

7.1 Fixed Platform Fee (Based on Campaign Budget)

7.2 Commission on Creator Payouts

For campaigns with a budget exceeding ₹1,00,000, an additional 3% commission is deducted from creator payouts:

Example (Budget ₹1,50,000, creator earns ₹10,000):

Less 3% Commission (deducted from creator): −₹300

Net before TDS: ₹9,700

Less TDS (10% — deducted at source): −₹970

Creator receives: ₹8,730

Commission is not an additional charge to brands on campaigns ≤ ₹1,00,000.

7.3 Fee Transparency

All fees are displayed clearly during campaign creation and at checkout. No hidden fees will be charged beyond those specified in these Terms. Creators can also view applicable commission rates in their dashboard before accepting any campaign.

8. Payment Terms & Escrow

8.1 Campaign Funding

All campaigns must be fully funded before going Live. The total amount to deposit includes the campaign budget (for creator payouts) plus the applicable platform fee. Funds are held in escrow by Krrio and disbursed to creators based on verified performance metrics.

  • Deposits are processed via Razorpay (UPI, net banking, credit/debit card)
  • Funds are held securely and not used for any purpose other than creator payouts and platform operations
  • You will receive a GST-compliant invoice for platform fees where GSTIN is provided

8.2 Payout Disbursement Timeline

  1. Campaign ends on scheduled date
  2. Krrio verifies all metrics through official APIs (1–6 hours)
  3. Payout calculations completed automatically
  4. Creator payouts disbursed within 24–48 hours
  5. You receive a final campaign report with complete analytics

8.3 Content Auto-Approval

If you do not review and respond to submitted content within 48 hours, it is automatically approved and the creator may publish. This rule exists to protect creators from indefinite delays. Please ensure someone is available to review content during active campaigns.

8.4 Tax Obligations

Krrio deducts TDS at 10% from all creator payouts under Section 194R of the Income Tax Act. This is deducted from the campaign budget held in escrow. Platform fees attract GST at 18% where applicable. You are responsible for your own GST compliance on the advertising spend.

9. Content Review Process

9.1 Pre-Publication Review

All creator content goes through the following review process before being published:

  1. Creator submits content draft via the Krrio platform
  2. Automated compliance check: disclosure labels (#ad, Paid Partnership), format compliance, prohibited content detection
  3. Brand review window: 48 hours to approve or request revisions
  4. If no response within 48 hours: auto-approved
  5. Creator publishes with required disclosure labels
  6. Post-publication monitoring for compliance violations

9.2 Approval Criteria

You may only reject content for legitimate business reasons, including:

  • Content does not comply with the campaign brief specifications
  • Required disclosures (#ad, Paid Partnership label) are missing or insufficient
  • Content contains prohibited material or false claims
  • Technical quality does not meet specified standards (resolution, aspect ratio)
  • Content violates applicable laws or platform policies

You may not reject content solely on subjective grounds after approving similar content, or to delay payment. Provide specific, actionable feedback for all rejections.

9.3 Revision Process

Creators are allowed up to 2 rounds of revisions per piece of content (as specified in the campaign brief). After 2 rejections with valid reasons, the campaign slot may be reassigned to another creator.

9.4 Content Removal

You may request content removal within 48 hours of posting for valid compliance or quality reasons. Creators are paid proportionally for views delivered before removal. You cannotrequest removal solely to avoid payment for views already delivered.

10. Creator Rights & Treatment

Brands must treat creators professionally and respectfully. The following obligations apply to all brand accounts:

  • Communicate with creators exclusively through the Krrio Platform messaging system
  • Do not request work outside the campaign scope without additional agreed compensation
  • Do not demand exclusivity beyond what is stated in the approved campaign brief
  • Do not hold creator content "hostage" — approve or reject within the specified timeline
  • Do not harass, bully, demean, or abuse creators in any way
  • Do not share creator contact information publicly or with third parties without consent
  • Respect that creators retain ownership of their content per Section 14
  • Honor payout commitments for all approved and published content that meets campaign requirements

Violations of creator rights may result in campaign suspension, account review, and potential reputational consequences on the Platform.

11. Prohibited Guidelines & Conduct

11.1 Prohibited Campaign Brief Content

You may not ask creators to:

  • Post content that violates Meta's Community Standards, Advertising Policies, or Branded Content Policy
  • Make false, misleading, or unsubstantiated claims about your product or service
  • Post without required sponsorship disclosures (#ad, Paid Partnership labels)
  • Promote illegal products, services, or activities in the target markets
  • Target content at minors inappropriately
  • Discriminate against protected classes or promote hate speech
  • Engage in deceptive advertising practices
  • Promote competitor products or create content that violates third-party intellectual property
  • Make health, medical, or financial claims that are not substantiated by clinical evidence

11.2 Prohibited Brand Conduct

  • Using the Platform to identify creators for off-platform deals (bypassing Krrio)
  • Offering creators direct payment to bypass Krrio's payout system
  • Creating fake accounts or impersonating another brand
  • Misrepresenting campaign requirements after creators have accepted
  • Cancelling campaigns without valid reason after creators have completed significant work
  • Engaging in any fraudulent activity, including misrepresenting conversion data
  • Attempting to circumvent platform fees through off-platform arrangements

12. Product & Service Legality

Brands are solely and entirely responsible for ensuring that all products and services promoted through Krrio campaigns are:

  • Legal in all target markets specified in the campaign
  • Properly licensed, certified, and compliant with all applicable regulations (FSSAI for food and beverages; Drugs and Cosmetics Act for health and beauty; SEBI for financial products; etc.)
  • Safe for consumer use and not misrepresented in terms of ingredients, composition, or effects
  • Compliant with advertising standards including ASCI guidelines and applicable FTC/ASA rules
  • Not subject to any pending or active regulatory action, recall, or ban in target markets

Krrio does not verify product claims, safety, regulatory compliance, or licensing. You indemnify Krrio fully against any claims, fines, penalties, or legal action arising from your products, services, or advertising claims.

The following product/service categories require prior written approval from Krrio before campaign activation: alcohol, tobacco, vaping, prescription medicines, financial investment products, gambling, adult content, cryptocurrency, and multi-level marketing schemes. Some categories may be prohibited entirely.

13. Data & Analytics Access

13.1 Data You Can Access

As a Brand, you can access the following data for your own campaigns only:

  • Performance metrics for content submitted to your campaigns: views, reach, impressions, likes, comments, shares, saves, average watch time
  • Creator profile information for approved campaign participants: username, niche, follower count (aggregated)
  • Campaign-level analytics and ROI reporting
  • Payout reports and disbursement confirmation
  • Fraud detection flags and content compliance status

13.2 Data You Cannot Access

  • Creator data for other brands' campaigns
  • Creators' personal contact information (phone, email, address) beyond what's in their public profile
  • Creators' UPI IDs, bank details, or payout amounts
  • Creators' other brand partnerships or campaign history with other brands
  • Audience-level data: individual viewer identities, customer PII from conversion tracking
  • Platform-wide analytics, competitor brand data, or other brands' creator relationships

13.3 Data Accuracy

All performance metrics are fetched directly from official Social Media Platform APIs (Meta Graph API, YouTube Data API). We do not manipulate, adjust, or inflate any performance numbers. Some data may have a 15–48 hour delay due to API refresh cycles. In case of API outages or data gaps, Krrio will notify affected brands and may extend campaign measurement windows.

13.4 Conversion Tracking

For conversion-based campaigns, conversions are tracked via:

  • Unique Promo Codes: Each creator receives a unique alphanumeric code that is validated at your checkout system. You integrate a webhook to send conversion confirmation to Krrio.
  • UTM Links: Unique tracking URLs (e.g., krr.io/abc123) track clicks, and conversions are confirmed via checkout webhook.

Krrio receives only: code used, order value (for payout calculation), and timestamp. We do not receive or store customer personal information, payment details, or purchase specifics.

14. Content Ownership & Licensing

14.1 Creator Ownership

Creators retain full copyright and ownership of all content they create. Content remains on the creator's social media channels as part of their portfolio.

14.2 License Granted to You

When a creator approves and publishes content for your campaign, they grant you a perpetual, worldwide, non-exclusive, royalty-free license to use the approved content for:

  • Reposting: Sharing on your brand's own social media channels (with creator attribution/tagging)
  • Website Use: Embedding on your website, landing pages, product pages, and sales pages
  • Paid Advertising: Using in paid social media advertisements, Google Ads, or other paid media
  • Email Marketing: Including in email campaigns, newsletters, and drip sequences
  • Sales Collateral: Featuring in case studies, presentations, pitch decks, and promotional materials
  • Editing: Cropping, adding logos/captions, subtitling, resizing, or modifying for marketing purposes

14.3 Non-Exclusivity

The license is non-exclusive by default. Creators may work with other brands unless a separate exclusivity agreement has been negotiated and documented in the campaign brief. You cannot unilaterally impose exclusivity beyond the campaign period without a separate agreement and additional compensation to the creator.

14.4 Attribution

When reposting or amplifying creator content, you should provide reasonable attribution (tagging the creator's social media handle or crediting their name). This is an expectation of the creator community and recommended best practice, though Krrio acknowledges it cannot legally mandate attribution in all advertising contexts.

15. Meta Platform Policy Compliance

Krrio is committed to full compliance with Meta Platforms, Inc.'s Platform Terms, Developer Policies, Advertising Policies, Branded Content Policies, and Community Standards. As a Brand using Krrio to run campaigns on Meta platforms (Instagram, Facebook), you are also bound by these policies.

15.1 Branded Content Policy Requirements

All sponsored content published on Meta platforms through Krrio campaigns must comply with Meta's Branded Content Policy:

  • Paid Partnership Label: All sponsored Instagram posts, Reels, and Stories must use Meta's official Paid Partnership label (tagging your brand's Instagram business account)
  • Caption Disclosure: In addition to the Paid Partnership label, the caption must include #ad or #sponsored above the "more" fold
  • No Misleading Content: Content must not mislead consumers about the nature of the commercial relationship
  • Brand Tagging: Your brand's Instagram account must be tagged in all sponsored posts where technically supported

15.2 Meta Advertising Policies

Your campaign content must comply with Meta's Advertising Policies, including prohibitions on:

  • Misleading or false advertising claims
  • Prohibited content categories (weapons, tobacco, adult content, gambling without authorization)
  • Discriminatory targeting or content
  • Health claims that violate Meta's health and wellness policies
  • Financial product promotion without required disclosures

15.3 Krrio's Meta API Usage

Krrio uses the Meta Graph API to:

  • Verify creator account authenticity and standing
  • Fetch performance metrics (views, reach, engagement) for content submitted by creators to your campaigns
  • Verify that Paid Partnership labels are applied to sponsored content

All API access is conducted within authorized scopes, with proper creator consent, and in accordance with Meta's Developer Policies. We do not scrape Meta platforms, access private data, or use any data for purposes outside of campaign performance tracking.

15.4 Your Obligations

  • Ensure your brand's Instagram business account is in good standing and authorized to participate in branded content
  • Accept creator partnership requests in Meta's Branded Content system where required
  • Not request content that would violate Meta's Advertising Policies or Community Standards
  • Not attempt to circumvent Meta's content moderation systems
  • Report any content that violates Meta's policies through proper channels

16. Data Privacy

Krrio processes brand data as described in our Privacy Policy, which is incorporated by reference into these Terms.

Key points for brands:

  • We collect business data necessary to operate your brand account and manage campaigns
  • Payment information is processed by Razorpay (PCI-DSS certified); we store only masked references
  • Campaign analytics and performance data is retained for 2 years after campaign end
  • We never sell brand data to third parties for marketing purposes
  • Creator data visible to you is limited to what is necessary for campaign management
  • Your TnC acceptance is timestamped and stored for compliance purposes
  • You are responsible for ensuring any customer data you provide for conversion tracking is handled in compliance with applicable data protection laws

17. Brand Safety Measures

17.1 Content Moderation

Krrio implements the following content moderation systems to protect brand safety:

  • Automated Moderation: Keyword filtering for prohibited content, image analysis for inappropriate visual content, disclosure detection, duplicate content detection, spam pattern identification
  • Manual Review: Human review of all flagged content within 24 hours; brand approval workflow before publication; quality assessment; compliance verification
  • Post-Publication Monitoring: Continuous monitoring of live campaign content for compliance violations

17.2 Brand Safety Controls

Brands can configure the following safety settings in their campaign dashboard:

  • Safety Level: Choose Low / Medium / High content safety threshold for creator selection
  • Creator Exclusions: Maintain a blocklist of specific creators or content categories
  • Content Categories: Whitelist or blacklist specific content types
  • Pre-Approval: All content reviewed before publication by default
  • Real-Time Alerts: Immediate notification of potential compliance issues

17.3 Rapid Response

Krrio can remove violating content within 1 hour of flagging. We maintain a clear escalation path for serious violations. All enforcement actions are documented in a full audit trail.

18. Refund & Cancellation Policy

18.1 Campaign Cancellation Before Activation

If you cancel your campaign before it is approved and activated, you receive a full refund of the campaign budget. Platform fees are non-refundable once the campaign brief has been reviewed and approved.

18.3 Zero-Content Refund

If a campaign receives zero content submissions after 14 days despite being Live, you may request a refund of the unused campaign budget (excluding platform fees). Refunds are processed within 14 business days.

18.4 Platform Fee Refunds

Platform fees are non-refundable once a campaign brief is approved and creators are invited. Krrio may offer fee credits for campaigns that experience significant technical issues on Krrio's side that materially affected campaign performance.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAKILLION INNOVATIONS PRIVATE LIMITED SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, customers, or business opportunities
  • Content created by Creators, including claims, statements, or representations therein
  • Third-party platform actions, including Meta or YouTube algorithm changes, account suspensions, or content removals
  • Payment delays or failures caused by Razorpay, banking systems, or network issues
  • Unauthorized access to accounts due to your failure to maintain account security
  • Force majeure events beyond Krrio's reasonable control
  • Campaign performance outcomes — we are not responsible for ROI, sales lift, or business results

In no event shall Sakillion Innovations Private Limited's total aggregate liability to you exceed the greater of: (a) the platform fees paid by you in the twelve (12) months preceding the claim, or (b) ₹50,000.

The Platform is provided "as is" and "as available" without warranties of any kind.Krrio does not warrant that the Platform will be uninterrupted, error-free, or that campaign results will meet any particular expectation.

20. Indemnification

You agree to indemnify, defend, and hold harmless Sakillion Innovations Private Limited, its affiliates, officers, directors, employees, agents, and partners from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your campaigns, including any product claims, representations, or content you directed creators to produce
  • Your violation of these Terms and Conditions
  • Your violation of any applicable law, advertising standard, or third-party rights
  • Any regulatory action, fine, or penalty arising from your products, services, or advertising claims
  • Any claim by a Creator arising from your breach of Creator rights under these Terms
  • Your violation of Meta Platform Policies or other Social Media Platform policies
  • Any fraudulent activity on your brand account

21. Termination

21.1 Termination by You

You may close your brand account with 30 days notice by contacting support@krrio.com. Active campaigns must be completed or properly cancelled before account closure. Outstanding creator payouts will be processed from escrowed funds.

21.2 Termination by Krrio

Krrio may suspend or terminate your account immediately and without prior notice for:

  • Violation of these Terms and Conditions or Meta Platform Policies
  • Non-payment of platform fees or campaign budgets
  • Fraudulent activity or misrepresentation of campaign data
  • Abusive behavior toward creators or Krrio staff
  • Promoting illegal products or engaging in deceptive advertising
  • Legal requirements or regulatory orders
  • Risk to Platform integrity or other users

21.3 Effect of Termination

Upon termination: all licenses granted to you cease (except content licenses granted prior to termination, which survive); outstanding creator payouts are settled from escrowed funds; surviving provisions include indemnification, limitation of liability, and dispute resolution.

22. Dispute Resolution

22.1 Governing Law

These Terms shall be governed by the laws of India. The courts of Lucknow, Uttar Pradesh, India shall have exclusive jurisdiction over disputes not resolved through arbitration.

22.2 Internal Dispute Resolution

  1. Submit dispute via the Platform portal or email disputes@krrio.com
  2. Krrio will review and respond within 7 business days
  3. If unresolved, parties may request mediation
  4. Krrio's decision on payout disputes is final and binding, subject to arbitration

22.3 Arbitration

Unresolved disputes shall be settled by binding arbitration under the Arbitration and Conciliation Act, 1996, in English, in Lucknow, Uttar Pradesh, India, by a single arbitrator appointed by mutual agreement or the Indian Council of Arbitration.

22.4 Class Action Waiver

You waive any right to participate in class actions, class arbitrations, or representative actions against Sakillion Innovations Private Limited.

23. Amendments

We may modify these Terms at any time. Material changes will be communicated via email and/or Platform notification at least 15 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance. Previous versions are available upon request at legal@krrio.com.
